Protect the meaning of employee equity
An equity percentage does not tell a person what they will receive.
Different share rights can change who receives proceeds first and how much remains for others. Some investors have priority through rights commonly called liquidation preferences. The exact terms matter. A headline valuation does not explain their effect.
Consider several possible outcomes before accepting a financing structure. A large sale may reward everyone, while a smaller sale may leave very different results. Later financing can also change ownership percentages. Make the relevant conditions understandable to the people whose work creates the value.
Do not present an optimistic illustration as a promised payment. Explain what the employee owns and what could affect its value. Align the incentive with outcomes the person can understand. A simpler agreement at a lower headline price may create a stronger relationship.
Judge the full structure from the company’s future position. Terms that look harmless when everyone expects rapid growth can matter greatly when progress slows. Preserve the ability to motivate people through more than the best possible outcome.
